VizHub AI Studio Terms of Use
Effective Date: September 29, 2026
These Terms of Use ("Terms") govern your access to and use of VizHub AI Studio, VizHub.com, related websites, applications, APIs, Model Context Protocol ("MCP") services, software, and other products and services provided by VizHub, Inc., also referred to as VizHub Incorporated ("VizHub," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree to these Terms, do not use the Service.
If you use the Service on behalf of a company, organization, educational institution, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity as well as the individual using the Service on its behalf.
Our Privacy Policy describes how we collect, use, and disclose personal information in connection with the Service.
1. The Service
VizHub provides tools for creating, editing, analyzing, publishing, sharing, and exporting data visualizations, software, datasets, and related materials. The Service may include AI features, collaboration tools, imports and exports, APIs, MCP services, and other programmatic interfaces. Features may vary by plan and may change over time.
We may modify, add, remove, suspend, or discontinue features of the Service. We do not guarantee that any particular feature, model, integration, API, or third-party service will remain available indefinitely.
2. Eligibility
You must be at least 13 years old to use the Service.
If you are under the age of legal majority where you live, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms.
The Service is not directed to children under 13.
You may not use the Service if you are legally prohibited from receiving or using the Service under applicable law.
3. Accounts
Some features require an account.
You agree to:
- provide accurate and current account information;
- maintain the security of your account and authentication credentials;
- promptly notify VizHub if you believe your account has been compromised; and
- accept responsibility for activity conducted through your account except to the extent caused by VizHub's failure to use reasonable security measures.
You may not sell, transfer, or provide unauthorized access to your account.
You may not use another person's account without permission.
We may require additional authentication or verification where reasonably necessary to protect users or the Service.
4. Organizations and Team Accounts
The Service may allow users to create or join organizations, workspaces, or other shared accounts ("Organizations").
If you join an Organization:
- Organization administrators may control access to projects and content belonging to that Organization;
- administrators may add or remove members;
- administrators may change permissions;
- administrators may access, export, modify, publish, unpublish, or delete Organization content where the Service permits; and
- your continued access to Organization content may depend on your membership in that Organization.
As between VizHub and the members of an Organization, the Organization is responsible for determining ownership and access rights among its members.
VizHub does not resolve internal ownership disputes between employees, contractors, collaborators, clients, or Organization members.
5. User Content
"User Content" means code, visualizations, datasets, prompts, files, text, images, AI inputs and outputs, and other materials you submit, create, import, store, or publish through the Service.
5.1 You Retain Ownership
VizHub does not claim ownership of your User Content.
Except for the licenses expressly granted in these Terms, you retain whatever ownership and other rights you have in your User Content.
5.2 License to Operate the Service
You grant VizHub a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, display, execute, modify, and otherwise use User Content as reasonably necessary to:
- provide the Service;
- perform actions you request;
- operate your projects and visualizations;
- provide AI functionality;
- create previews, screenshots, thumbnails, indexes, embeddings, or similar technical representations;
- maintain and secure the Service;
- prevent fraud or abuse;
- troubleshoot problems;
- comply with law; and
- exercise other rights expressly described in these Terms or our Privacy Policy.
This license does not transfer ownership of your User Content to VizHub.
6. Private Content
Content that the Service identifies as private ("Private Content") is not intentionally made publicly accessible through the Service unless you or an authorized Organization member changes its visibility or otherwise shares it.
VizHub personnel and service providers may access Private Content when reasonably necessary to:
- operate or maintain the Service;
- provide support requested by you;
- investigate security incidents;
- prevent abuse;
- comply with applicable law or legal process; or
- perform automated processing required to provide features you use.
Private Content may also be processed by third-party infrastructure or AI service providers as described in these Terms and our Privacy Policy.
Unless you expressly opt in or we separately disclose the practice and obtain any consent required by applicable law, VizHub will not use your Private Content to train general-purpose generative AI models.
We may use aggregated or de-identified information derived from use of the Service for analytics, security, product development, and improvement, provided that the information does not reasonably identify you or reveal your Private Content.
7. Public Content
You may choose to publish certain content through the Service ("Public Content").
Publishing is an affirmative action. When you publish content, you understand that it may be:
- visible to anyone;
- indexed by VizHub search;
- discoverable through external search engines;
- viewed without a VizHub account;
- executed in a browser;
- copied through Service functionality;
- included in recommendations or search results;
- used to generate previews, screenshots, descriptions, or embeddings;
- linked to from other websites; and
- forked where VizHub provides a forking feature.
Do not publish content that you do not want others to access.
7.1 License to VizHub for Public Content
While User Content is public, you grant VizHub a worldwide, non-exclusive, royalty-free license to host, reproduce, execute, display, distribute, index, analyze, promote, and make the Public Content available through VizHub and related VizHub services.
This includes displaying Public Content in:
- search results;
- exploration interfaces;
- user profiles;
- galleries;
- recommendations;
- similar-visualization features;
- social previews;
- screenshots; and
- promotional examples of content available through the Service.
VizHub does not obtain ownership of Public Content as a result of this license.
7.2 Forking
If you publish content in a part of the Service that supports forking, you authorize other users to fork that content using functionality provided by VizHub.
A fork may create a separate copy that another user can modify, execute, save, publish, and export using the Service.
For content forked while it was public, you grant the user creating the fork a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, execute, and create derivative works from the fork as reasonably necessary to use the Service and its download or export functionality.
This license does not automatically place your Public Content under the MIT License, Apache License, GPL, Creative Commons license, or any other open-source or public license.
You may separately attach a license to your content. If you do, use of that content may also be governed by that license.
7.3 Unpublishing
If you unpublish content, the original VizHub resource will become private or otherwise unavailable to the public according to the functionality provided by the Service.
Unpublishing does not revoke rights already granted with respect to forks legitimately created while the content was public.
Existing forks may therefore remain available after the original content is unpublished.
Copies outside VizHub, browser caches, search-engine caches, screenshots, exports, or other copies previously made by third parties may also continue to exist outside VizHub's control.
8. Your Responsibilities for User Content
You are responsible for your User Content.
You represent and warrant that:
- you own the User Content or have sufficient rights to submit it to the Service;
- your use of the User Content through VizHub does not violate applicable law;
- your User Content does not infringe intellectual property, privacy, confidentiality, publicity, contractual, or other rights of another person; and
- you have obtained any permissions, licenses, notices, or consents necessary for VizHub to process the User Content as described in these Terms.
The fact that content is publicly accessible on the Internet does not necessarily mean that you have permission to reproduce, import, publish, modify, or redistribute it.
You are responsible for evaluating the rights associated with content you import from GitHub, public datasets, websites, repositories, APIs, or other sources.
9. Datasets and Personal Information
You are responsible for determining whether information you upload may lawfully be processed using the Service.
Unless VizHub expressly agrees otherwise in writing, you should not use the Service to store or process highly sensitive or specially regulated information such as:
- passwords or authentication secrets;
- private cryptographic keys;
- full payment-card information;
- Social Security numbers or equivalent government identification numbers;
- information subject to special contractual security obligations;
- protected health information that would require VizHub to act as a HIPAA business associate; or
- other information for which the Service is not designed.
VizHub does not enter into a HIPAA Business Associate Agreement merely because you create an account or use the Service.
If a dataset contains personal information, you are responsible for having an appropriate legal basis and any required notices or permissions for processing that information.
10. Artificial Intelligence Features
The Service may use artificial intelligence, machine learning models, agents, automated code-generation systems, or other automated technologies ("AI Features").
AI Features may:
- analyze datasets;
- write or modify source code;
- create visualizations;
- suggest visualization designs;
- describe code or data;
- generate project materials;
- perform automated actions;
- interact with projects;
- call tools;
- execute workflows; or
- produce other output.
10.1 AI Input
Content submitted to an AI Feature may be transmitted to VizHub systems and third-party AI or infrastructure providers as necessary to perform the requested operation.
Our Privacy Policy provides additional information about processing of personal information.
You should not provide confidential or sensitive information to an AI Feature unless you are authorized to do so and the feature is appropriate for that information.
10.2 AI Output
AI-generated content ("Output") can be incomplete, inaccurate, misleading, insecure, outdated, or incorrect.
Generated software may contain:
- bugs;
- security vulnerabilities;
- performance problems;
- accessibility problems;
- licensing issues;
- incorrect assumptions; or
- unintended behavior.
You are responsible for reviewing, testing, validating, and approving Output before relying on it, publishing it, incorporating it into another product, or deploying it into production.
VizHub does not guarantee that AI-generated Output is accurate, correct, complete, secure, suitable for a particular purpose, or free from third-party rights.
10.3 Output May Not Be Unique
AI systems may produce the same or similar output for different users.
Your receipt of Output does not give you rights in output independently generated for other users.
10.4 Ownership of Output
As between you and VizHub, and to the extent permitted by applicable law, VizHub assigns to you any rights VizHub may have in Output generated specifically for you from your use of the Service.
This does not affect:
- rights in your underlying User Content;
- rights belonging to other users;
- rights in third-party materials;
- open-source license obligations;
- rights in Public Content used through authorized forking;
- or any restrictions imposed by applicable law.
VizHub does not represent or warrant that Output is eligible for copyright, patent, trademark, or other intellectual-property protection.
10.5 Human Review
AI Features are tools.
You remain responsible for decisions you make based on AI-generated Output.
You should use appropriate human review before using Output in circumstances where errors could materially affect people's legal rights, health, safety, finances, employment, education, housing, or other significant interests.
11. Third-Party AI Providers
VizHub may use third-party AI model providers, inference platforms, hosting providers, and related services to provide AI Features.
The particular providers or models used may change over time.
VizHub is not required to continue using any specific AI model or provider.
When you request an AI operation, portions of your input, project context, code, dataset information, or other information necessary to fulfill that request may be transmitted to applicable service providers.
Additional information about data processing is provided in our Privacy Policy.
12. AI Credits
Some AI Features consume usage units referred to as "AI Credits."
AI Credits are units used to measure access to AI functionality. They are not money, cryptocurrency, stored value, or a financial instrument.
AI Credits:
- have no cash value;
- cannot be redeemed for cash;
- are not transferable between unrelated accounts unless VizHub expressly permits it;
- may be included with a subscription or promotional offer;
- may be subject to plan-specific limits; and
- may expire or reset as described on the applicable pricing, billing, or account page.
The number of AI Credits required for a particular operation may vary based on factors such as:
- the AI model used;
- operation type;
- input or context size;
- output size;
- agent activity;
- computational resources; and
- other technical factors.
An AI Credit does not represent a fixed number of tokens, API requests, seconds of computation, or dollars of underlying provider cost.
VizHub may change the number of AI Credits required for future operations.
Changes will apply prospectively and will not alter charges for AI operations already completed.
AI operations initiated through APIs, MCP, agents, or other programmatic interfaces may consume AI Credits in the same manner as equivalent operations initiated through the VizHub user interface.
If an operation fails because of a VizHub service error, VizHub may restore associated credits automatically or through support. We do not guarantee restoration where substantial processing was successfully performed or where the failure resulted from User Content, user configuration, third-party systems, or user cancellation.
13. Free Plans, Trials, and Paid Subscriptions
VizHub may offer free plans, paid subscriptions, trials, promotional plans, Organization plans, and other pricing arrangements.
The features, limits, quotas, AI Credits, storage allowances, and other characteristics of each plan are described on the applicable pricing, checkout, billing, or account page.
13.1 Paid Subscriptions and Automatic Renewal
Certain paid plans automatically renew until cancelled.
Before you enroll in an automatically renewing subscription, VizHub will present the material subscription terms, including the applicable price, billing frequency, and how to cancel.
By affirmatively enrolling in an automatically renewing subscription, you authorize VizHub and its payment processor to charge the applicable subscription fees and taxes to your selected payment method at the disclosed billing frequency until you cancel the subscription.
Your subscription will automatically renew for successive billing periods unless you cancel before the next renewal charge.
13.2 Cancellation
You may cancel an automatically renewing subscription at any time through the online account or billing functionality provided by VizHub.
VizHub will provide a reasonably accessible cancellation mechanism and will not require you to use a materially more burdensome method to cancel than the method used to subscribe, except where necessary for account security or required by law.
Cancellation stops future automatic renewal charges. Unless otherwise disclosed or required by law, cancellation does not terminate access immediately. You may continue to use the applicable paid features through the end of the billing period for which you have already paid.
Deleting an application, closing a browser, or ceasing to use the Service does not by itself cancel a paid subscription.
13.3 Trials and Promotional Pricing
VizHub may offer free trials, discounted introductory periods, or other promotions.
Before you enroll in a trial or promotion that will automatically convert to a paid subscription, VizHub will disclose:
- the duration of the trial or promotional period;
- the price that will apply afterward;
- when the first charge will occur;
- the applicable billing frequency; and
- how to cancel before being charged.
Where you affirmatively enroll in such an offer, the subscription will convert to the disclosed paid subscription unless you cancel before the disclosed conversion date.
VizHub will provide trial-ending or renewal notices when required by applicable law.
13.4 Refunds
Except where required by applicable law, expressly stated in a specific offer, or expressly agreed to by VizHub, fees already paid are non-refundable.
Nothing in these Terms limits any cancellation, refund, or credit right that applicable law requires, including rights that may apply following certain subscription price changes.
If VizHub terminates a prepaid paid subscription without cause before the end of the applicable billing period, VizHub may provide a prorated refund or credit for the unused portion of that period.
This provision does not require a refund when access is terminated because of a material violation of these Terms.
13.5 Price Changes
VizHub may change subscription prices from time to time.
We will provide notice of a price increase before applying it to an existing recurring subscription as required by applicable law.
Where applicable law requires affirmative consent to a price increase, VizHub will obtain that consent before charging the increased price or provide any alternative cancellation and refund rights permitted by applicable law.
13.6 Taxes
Prices may exclude applicable taxes.
You are responsible for sales, use, value-added, withholding, or similar taxes associated with your purchase, except taxes based on VizHub's net income.
14. Service Limits and Quotas
The Service may impose limits on usage, including the number of projects, visualizations, organizations, and collaborators; dataset size and storage; network traffic, API calls, and agent executions; AI Credits; and computational and concurrent resources.
You may not circumvent or attempt to circumvent these limits.
VizHub may enforce reasonable limits to protect the Service, control costs, prevent abuse, or maintain reliability.
15. APIs, MCP, and Programmatic Access
VizHub may provide APIs, MCP servers, access tokens, command-line tools, or other programmatic interfaces.
You are responsible for protecting API keys, MCP credentials, tokens, and other authentication secrets associated with your account.
Actions authenticated using your credentials may be treated as actions authorized by you.
You may not:
- circumvent rate limits;
- evade billing or AI Credit consumption;
- scrape the Service in violation of these Terms;
- probe for vulnerabilities without authorization;
- use programmatic access to interfere with other users;
- attempt to bypass authentication or authorization controls; or
- use undocumented interfaces in a manner that materially disrupts the Service.
VizHub may modify APIs or programmatic interfaces over time.
Where practical, we may provide notice of material changes, but we do not guarantee indefinite backward compatibility unless separately agreed in writing.
16. Acceptable Use
You may not use the Service to:
- violate applicable law or regulation;
- infringe intellectual-property or proprietary rights;
- upload or distribute malware, ransomware, spyware, or malicious code;
- gain unauthorized access to systems, accounts, networks, or data;
- conduct phishing, credential theft, fraud, or impersonation;
- interfere with or disrupt the Service;
- deliberately overwhelm or degrade VizHub infrastructure;
- bypass usage restrictions, quotas, authentication controls, or payment requirements;
- use another person's credentials without authorization;
- harvest personal information unlawfully;
- publish unlawful content;
- facilitate illegal activity;
- falsely represent that AI-generated material was created or endorsed by another person;
- use the Service to violate the privacy or contractual rights of others; or
- use the Service in another manner that creates a material security, legal, or operational risk for VizHub or its users.
We may investigate suspected violations and suspend or restrict access where reasonably necessary.
VizHub may maintain a separate Acceptable Use Policy. If one is published, it is incorporated into these Terms by reference.
17. Third-Party Content, Libraries, and Services
The Service may interact with or contain content from third parties, such as open-source libraries, GitHub repositories or gists, public datasets, external APIs, maps, fonts, visualization libraries, third-party websites, AI models, cloud infrastructure, and software packages.
Third-party materials may be governed by separate licenses and terms.
VizHub does not grant you ownership of third-party materials merely because they are accessible through the Service.
You are responsible for complying with applicable third-party licenses when exporting, distributing, publishing, or deploying projects that incorporate third-party materials.
Links to or integrations with third-party services do not constitute an endorsement by VizHub.
Third-party services may change, become unavailable, or operate subject to terms outside VizHub's control.
18. Imported and Indexed Public Content
VizHub may index, reference, display, analyze, summarize, or provide discovery tools for publicly available visualization-related content.
The Service may identify the source or provenance of imported material.
A source label, attribution, index entry, or provenance record does not constitute a representation by VizHub that material is free of intellectual-property restrictions.
If you reuse imported material, you are responsible for determining the license or other rights applicable to your use.
VizHub may remove or restrict imported or indexed content when we reasonably believe doing so is necessary to address copyright, privacy, security, legal, or policy concerns.
19. VizHub Intellectual Property
The Service itself, excluding User Content and third-party content, is owned by VizHub or its licensors. This includes VizHub software, service architecture, user-interface elements, design systems, trademarks, logos, documentation, proprietary algorithms, databases, infrastructure, and other VizHub technology.
Subject to these Terms, VizHub grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes.
These Terms do not grant you ownership of VizHub intellectual property.
"VizHub" and associated names, logos, and branding may be trademarks of VizHub. You may not use VizHub branding in a manner that falsely suggests sponsorship, endorsement, partnership, or affiliation without permission.
20. Feedback
If you voluntarily provide VizHub with ideas, suggestions, feature requests, bug reports, or other feedback ("Feedback"), you grant VizHub a worldwide, perpetual, irrevocable, royalty-free right to use, modify, commercialize, and incorporate that Feedback into our products and services without restriction or obligation to compensate you.
This section does not give VizHub ownership of your User Content merely because the User Content is discussed in Feedback.
21. Copyright Complaints and DMCA
VizHub respects intellectual-property rights and has adopted procedures intended to comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512.
21.1 Designated Copyright Agent
Notices of claimed copyright infringement should be sent to VizHub's designated copyright agent:
VizHub, Inc.
Attn: DMCA Copyright Agent
Address: Available on request
Email: curran@vizhub.com
Telephone: Available on request
VizHub maintains designated-agent information with the United States Copyright Office as required by applicable law.
21.2 Notices of Claimed Infringement
If you believe material available through the Service infringes a copyright that you own or are authorized to enforce, you may submit a written notice to VizHub's designated copyright agent.
To be effective under the DMCA, a notice should substantially include:
- a physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right allegedly infringed;
- identification of the copyrighted work claimed to have been infringed or, if multiple copyrighted works at a single online location are covered by the notice, a representative list of those works;
- identification of the material claimed to be infringing or the subject of infringing activity and information reasonably sufficient to allow VizHub to locate the material;
- information reasonably sufficient to allow VizHub to contact the complaining party, such as an address, telephone number, and email address;
- a statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- a statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Upon receipt of a substantially compliant notice, VizHub may remove or disable access to the identified material and will take the actions required by applicable law.
21.3 Notice to the Affected User
When VizHub removes or disables access to material in response to a DMCA notice, VizHub will take reasonable steps to notify the affected user as required by applicable law.
21.4 Counter-Notifications
If you believe material you submitted was removed or disabled because of mistake or misidentification, you may send a written counter-notification to VizHub's designated copyright agent.
To be effective under the DMCA, a counter-notification should substantially include:
- your physical or electronic signature;
- identification of the material that was removed or disabled and the location at which the material appeared before it was removed or disabled;
- a statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification;
- your name, address, and telephone number;
- a statement that you consent to the jurisdiction of the appropriate United States Federal District Court as provided by 17 U.S.C. § 512(g); and
- a statement that you will accept service of process from the person who submitted the original infringement notice or that person's agent.
After receiving a substantially compliant counter-notification, VizHub will provide a copy to the party who submitted the original notice and follow the restoration procedure required by the DMCA.
Unless the original complaining party notifies VizHub that it has filed an action seeking a court order restraining the allegedly infringing activity, VizHub may restore the material or cease disabling access to it not less than 10 and not more than 14 business days after receiving a valid counter-notification, as provided by applicable law.
21.5 Repeat Infringers
VizHub has adopted and reasonably implements a policy providing for the termination, in appropriate circumstances, of accounts of users who are repeat copyright infringers.
VizHub may consider the circumstances associated with infringement notices, counter-notifications, court determinations, user conduct, and other relevant information when applying this policy.
VizHub may terminate or restrict an account when appropriate under this policy.
21.6 Misrepresentations
Submitting a knowingly false or materially misleading infringement notice or counter-notification may result in liability under applicable law.
VizHub reserves all rights regarding fraudulent, abusive, or bad-faith use of the copyright complaint process.
22. Privacy
Our collection and use of personal information is described in the VizHub Privacy Policy.
By using the Service, you acknowledge that information will be processed as described in that policy.
Where there is a conflict between these Terms and the Privacy Policy concerning how personal information is processed, the Privacy Policy governs the processing of personal information.
23. Security
VizHub uses administrative, technical, and organizational measures designed to protect the Service and information stored through it.
However, no Internet service, storage system, or software system can be guaranteed to be completely secure.
You are responsible for:
- maintaining appropriate backups of important content;
- protecting account credentials;
- configuring permissions appropriately; and
- reviewing exported software before deployment.
You should not use VizHub as the sole repository for information that you cannot afford to lose.
24. Beta, Experimental, and Early-Access Features
Some functionality may be identified as:
- beta;
- preview;
- experimental;
- early access;
- research preview; or
- similar terminology.
Such features may be less reliable than generally available functionality.
They may:
- contain bugs;
- change substantially;
- produce unexpected results;
- have limited support;
- be subject to different usage restrictions; or
- be discontinued.
You use experimental features at your own discretion.
VizHub may request feedback about early-access functionality.
25. Suspension
VizHub may temporarily suspend or restrict access to all or part of the Service when reasonably necessary to:
- respond to a security risk;
- prevent fraud or abuse;
- investigate a suspected violation of these Terms;
- protect other users;
- address nonpayment;
- comply with law;
- respond to third-party rights claims; or
- protect the reliability of the Service.
Where reasonably practicable, we will attempt to limit a suspension to the scope and duration necessary to address the issue.
26. Termination by You
You may stop using the Service at any time.
You may delete your account using available account functionality or by contacting VizHub if account deletion functionality is unavailable.
Cancelling a paid subscription and deleting an account are separate actions unless the Service expressly indicates otherwise.
You should export any content you wish to retain before deleting your account.
27. Termination by VizHub
VizHub may terminate your account or access to the Service if:
- you materially violate these Terms;
- your use creates a serious security or legal risk;
- you engage in fraud or abuse;
- required fees remain unpaid;
- providing the Service to you becomes unlawful; or
- continued operation of your account would materially harm VizHub, its infrastructure, or other users.
We may also discontinue free accounts or the Service generally, subject to applicable law.
When reasonably practicable, we will provide notice before terminating an account for reasons other than serious abuse, security threats, fraud, or legal requirements.
28. Effect of Termination
Upon termination:
- your right to access the Service ends;
- paid features may become unavailable;
- VizHub may delete User Content associated with the terminated account;
- you remain responsible for amounts already owed; and
- provisions that by their nature should survive termination will remain in effect.
VizHub may retain information where reasonably necessary for:
- legal compliance;
- fraud prevention;
- security;
- dispute resolution;
- enforcement of agreements; or
- backup and disaster-recovery processes.
Termination or account deletion does not necessarily delete:
- Public Content copied or exported by others;
- forks created from Public Content;
- content belonging to an Organization;
- information required to be retained by law; or
- temporary backup copies.
29. Availability and Changes to the Service
We aim to provide a reliable Service, but we do not guarantee uninterrupted operation.
The Service may be unavailable because of:
- maintenance;
- software defects;
- infrastructure failures;
- third-party provider failures;
- Internet outages;
- security incidents;
- unusually high demand; or
- circumstances outside VizHub's reasonable control.
VizHub may modify or discontinue parts of the Service.
Where a change materially affects a paid Service, we will take reasonable steps to communicate the change.
30. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available."
VizHub disclaims all warranties, express, implied, or statutory, including implied warranties of:
- merchantability;
- fitness for a particular purpose;
- title;
- non-infringement; and
- quiet enjoyment.
VizHub does not warrant that:
- the Service will always be available;
- the Service will be error-free;
- User Content will never be lost;
- AI Output will be accurate;
- generated code will be secure or error-free;
- Output will be unique;
- Output will not infringe third-party rights;
- any particular AI model or feature will remain available; or
- use of the Service will achieve any particular business or technical result.
Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, these disclaimers apply only to the extent permitted by law.
31. Limitation of Liability
To the maximum extent permitted by applicable law, VizHub and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, or data, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of VizHub and its affiliates arising out of or relating to the Service or these Terms will not exceed the greater of:
- the amounts you paid to VizHub for the Service during the 12 months immediately preceding the event giving rise to the claim; or
- $100 USD.
These limitations apply regardless of the form or theory of liability, including contract, tort, negligence, strict liability, statute, or otherwise, and even if a limited remedy fails of its essential purpose.
The exclusions and limitations in this section do not apply to the extent liability results from VizHub's fraud, willful misconduct, or gross negligence, or to any other liability that cannot lawfully be excluded or limited.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, these limitations apply only to the maximum extent permitted by law.
32. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless VizHub, its affiliates, directors, officers, employees, contractors, and agents from third-party claims, demands, proceedings, damages, liabilities, losses, judgments, settlements, costs, and reasonable attorneys' fees to the extent arising out of or relating to:
- User Content that you submit, upload, import, publish, or otherwise make available through the Service;
- a claim that your User Content infringes or violates a third party's intellectual-property, privacy, confidentiality, publicity, contractual, or other rights;
- your unlawful use of the Service;
- your material violation of these Terms; or
- your intentional misuse of the Service or another person's account, data, or systems.
VizHub will provide reasonable notice of a claim for which it seeks indemnification.
You will provide reasonable cooperation in the defense of the claim. VizHub may participate in the defense with counsel of its choosing.
You may not settle a claim in a manner that admits liability or wrongdoing by VizHub, imposes an obligation on VizHub, or restricts VizHub's rights without VizHub's prior written consent.
This Section applies to third-party claims. It does not create a right for either you or VizHub to recover attorneys' fees incurred in a dispute directly between you and VizHub unless another provision of these Terms, another written agreement, or applicable law expressly provides otherwise.
Your indemnification obligations do not apply to the extent a claim results from VizHub's own fraud, willful misconduct, or gross negligence.
Nothing in this Section imposes an indemnification obligation on an individual consumer to the extent such an obligation is prohibited by applicable law.
33. Export Controls and Sanctions
You may not use, export, re-export, transfer, or provide access to the Service in violation of applicable export-control, trade-sanctions, or economic-sanctions laws.
You represent that you are not prohibited from using the Service under applicable trade restrictions.
34. No Professional Advice
VizHub provides software and data-visualization tools.
Unless expressly stated otherwise, the Service does not provide legal, medical, financial, accounting, investment, or other regulated professional advice.
Visualizations, analyses, AI Output, and other materials generated using the Service should not be treated as professional advice merely because they were produced using VizHub.
You are responsible for obtaining appropriate professional review when necessary.
35. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of New York, without regard to its conflict-of-law principles.
If you use the Service as an individual consumer, this choice of law does not deprive you of any mandatory consumer protections provided by the law of the jurisdiction in which you reside that cannot lawfully be waived by contract.
36. Dispute Resolution and Venue
36.1 Informal Resolution
Before commencing litigation, you and VizHub agree to attempt in good faith to resolve the dispute informally where reasonably practicable.
Notices concerning a dispute with VizHub may be sent to:
The notice should reasonably describe the nature of the dispute and the requested resolution.
This informal-resolution provision does not prevent either party from seeking temporary or emergency injunctive relief, bringing an eligible claim in small claims court, or taking action necessary to preserve a claim before an applicable limitations period or other legal deadline expires.
36.2 Courts and Venue
Except where applicable law provides otherwise, any judicial proceeding arising out of or relating to these Terms or the Service will be brought exclusively in:
- the state courts located in Albany County, New York; or
- the United States District Court for the Northern District of New York.
You and VizHub consent to the personal jurisdiction of those courts.
If you are an individual consumer, this Section does not prevent you from bringing an eligible claim in small claims court or exercising a non-waivable right under applicable law to bring a proceeding in another jurisdiction.
Nothing in these Terms prevents either party from seeking temporary, preliminary, or other injunctive or equitable relief from a court of competent jurisdiction when necessary to protect intellectual-property rights, account security, confidential information, or systems from imminent harm.
37. Changes to These Terms
VizHub may update these Terms from time to time.
If we make a material change, we will provide notice through reasonable means, which may include:
- posting updated Terms;
- displaying a notice in the Service; or
- sending an email to the address associated with your account.
The updated Terms will identify their effective date.
Where required by law, we will obtain additional consent before applying material changes.
Changes will not retroactively expand VizHub's rights to use Private Content in a materially different way without any consent required by applicable law.
If you continue to use the Service after updated Terms become effective, you agree to the updated Terms, except where applicable law requires another form of consent.
38. Changes to Pricing and Plans
VizHub may introduce, modify, or discontinue plans, features, quotas, and pricing.
Changes to an existing paid recurring subscription will take effect according to the notice and renewal terms described in Section 13.
Features identified as free are not guaranteed to remain free permanently.
We may introduce new paid functionality without making it available under existing plans.
39. Electronic Communications
By using the Service, you agree to receive transactional electronic communications related to your account and use of VizHub, including communications concerning:
- account verification;
- security;
- billing;
- subscription status;
- trial status;
- service changes;
- legal notices;
- project activity; and
- other operational matters.
Where required by law, marketing communications will be handled separately and will include applicable opt-out mechanisms.
You are responsible for maintaining a current email address associated with your account.
40. Assignment
You may not assign or transfer these Terms without VizHub's written consent, except where applicable law provides otherwise.
VizHub may assign these Terms in connection with:
- a merger;
- acquisition;
- corporate reorganization;
- financing;
- sale of assets;
- transfer of the Service; or
- similar business transaction.
41. Force Majeure

- Internet or telecommunications failures;
- cloud-provider outages;
- widespread cybersecurity incidents;

- epidemics or pandemics; or
- failures of critical third-party infrastructure.
42. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
The unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose where permitted by law.
43. Waiver
A failure by VizHub to enforce a provision of these Terms does not waive our right to enforce it later.
A waiver is effective only if made expressly by an authorized representative of VizHub.
44. Entire Agreement
These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the agreement between you and VizHub concerning the Service.
If you and VizHub enter into a separate written agreement that expressly governs your use of the Service, that agreement will control to the extent of any conflict with these Terms.
Purchase orders or other documents issued by you do not modify these Terms unless expressly accepted in writing by VizHub.
